Provider Services Agreement

This Provider Services Agreement ("Agreement") is between Route Technologies LLC ("Roūte") and you ("Provider"), and governs your use of the Roūte platform to receive job opportunities and perform services. By accepting in the app or going online, you agree.
1. Independent contractor relationship
You are an independent contractor, not an employee, agent, joint venturer, or partner of Roūte. You have complete control over:
- whether, when, where, and how long to use the platform;
- which job requests to accept, decline, or ignore;
- the route, equipment, tools, methods, and order of work;
- whether to use other roadside, gig, or competing platforms (no exclusivity);
- your business name, branding, employees, and subcontractors (where permitted by law).
Roūte does not set hours, require shifts, supervise on-site performance, provide tools or vehicles, withhold taxes, provide benefits, or pay overtime, sick leave, unemployment, or workers' compensation. You bear all profit and loss of your business.
2. Eligibility & verification
- You are at least 18 (or the local age of majority) and legally able to work and drive.
- You hold a valid driver's license, vehicle registration, and any local permits required for the services you offer.
- You maintain auto and commercial general liability insurance meeting or exceeding state minimums and at any higher amount required for your services.
- You consent to identity verification, document review, and (where permitted) background or motor-vehicle-record screening, and authorize third-party vendors to perform them.
- You will keep all documents current and notify Roūte of any change in license, insurance, citations, accidents, or convictions.
3. Services & scope
You may perform only services within your qualifications and equipment, and within the categories available in the app (for example: jump start, fuel delivery, lockout, spare-tire install, battery-related help). You will not perform towing, recovery, structural repairs, or other services outside your licensing and equipment.
4. Insurance (minimums)
You must maintain, at your expense, at least:
- Commercial automobile liability appropriate to your operations (no less than state-required minimums; higher limits strongly recommended);
- Commercial general liability covering bodily injury and property damage;
- Garage-keepers, on-hook, or equivalent coverage where you handle customer vehicles or keys;
- Workers' compensation as required by law for any employees you use.
Roūte may require certificates of insurance and to be named as additional insured on your policies. Roūte does not insure you, your vehicle, your equipment, or your work.
5. Payments & fees
5.1 Pricing
Fares are set or estimated through the app. Roūte may charge a platform fee or service fee, disclosed in your earnings statement. Adjustments may apply for cancellations, refunds, fraud, or chargebacks.
5.2 Payouts
Payouts are processed by Stripe Connect or another processor and are subject to their terms. You authorize Roūte to collect payments on your behalf as your limited payment collection agent solely to settle Customer charges for your services; this does not create any other agency.
5.3 Taxes
You are solely responsible for all federal, state, and local taxes on your earnings, including self-employment tax. Roūte will issue tax forms (e.g., 1099-K) as required by law.
5.4 Off-platform jobs prohibited
You may not solicit or accept off-platform payment for jobs sourced through Roūte.
6. Standards of conduct
- Comply with all applicable laws, including traffic, vehicle, environmental, and consumer-protection laws.
- Do not operate while impaired by alcohol, drugs, fatigue, or distraction.
- Do not discriminate against Customers based on protected characteristics.
- Do not harass, threaten, or contact Customers outside of an active job.
- Update job status accurately; do not falsify arrival, completion, photos, or location.
- Protect Customer property, keys, and information; never copy or retain keys.
7. Background screening
Where permitted, Roūte (or its vendor) may run criminal, motor-vehicle, and identity-verification checks at onboarding and periodically. You authorize these checks under the federal Fair Credit Reporting Act and state equivalents. You may request a copy of any consumer report obtained about you.
8. Indemnification by Provider
You will defend, indemnify, and hold harmless Roūte and its affiliates, officers, directors, employees, and agents from all claims arising out of or related to: your services; your acts or omissions; your vehicle, tools, employees, or subcontractors; your breach of this Agreement; your violation of law; bodily injury or property damage; tax, payroll, or worker-classification claims; or any dispute with a Customer. Roūte may control the defense at your expense.
9. Suspension & deactivation
Roūte may immediately suspend or deactivate your account for any reason, including: low ratings, complaint patterns, documented safety incidents, suspected fraud, expired or invalid documents, failure to maintain insurance, or breach of this Agreement. Deactivation is not termination of employment because you are not an employee.
10. Disclaimers & limitation of liability
The platform is provided "as is." Roūte's total aggregate liability to you under this Agreement will not exceed the greater of (a) platform fees Roūte retained from your jobs in the 12 months preceding the claim, or (b) US$100. Roūte is not liable for indirect, incidental, consequential, or punitive damages, lost profits, or lost opportunities.
11. Arbitration; class/collective waiver
Disputes between you and Roūte, including classification, wage-and-hour, and PAGA-style claims (to the maximum extent permitted by law), will be resolved by binding individual arbitration under the Federal Arbitration Act and the AAA Employment / Independent Contractor Arbitration Rules, in Orange County, Florida.
You and Roūte waive any right to a jury trial and to participate in a class, collective, or representative action. Mass-arbitration batching as described in the Terms of Service Section 18.6 applies. The informal notice procedure in Terms of Service Section 18.2 is a condition precedent. Either party may bring an individual claim in small-claims court.
30-day opt-out: you can opt out of this arbitration clause by emailing support@tryrouteapp.net within 30 days of first accepting this Agreement, subject "Provider Arbitration Opt-Out."
12. Confidentiality & data
Customer data accessed through the platform is confidential and may be used only to perform the job. You may not export, store, or use Customer data for any other purpose. Roūte's processing of personal data is described in the Privacy Policy.
13. Intellectual property
Roūte grants you a limited, non-exclusive, revocable license to use the app while this Agreement is in effect. The Roūte name, marks, and software are owned by Roūte.
14. Term & termination
Either party may terminate this Agreement at any time, with or without cause. Sections that by nature survive (insurance representations during the term, indemnity, disclaimers, limitation of liability, arbitration) survive termination.
15. Governing law; miscellaneous
Florida law governs. This Agreement is the entire agreement between you and Roūte regarding the platform and supersedes prior agreements. If any provision is unenforceable, the rest remains in effect. You may not assign this Agreement; Roūte may assign freely.
